TERMS & CONDITIONS
1. Acceptance of Terms These Terms and Conditions (&aosp; Terms &aosp;) constitute a legally binding agreement between you (&aosp; User,&aosp; &aosp;Client,&aosp; or &aosp;you&aosp;) and Isometrik AI Inc. (&aosp;Isometrik AI,&aosp; &aosp;we,&aosp; &aosp;our,&aosp; or &aosp;us&aosp;) governing your access to and use of our website at isometrik.ai, our AI platform, AI agents, APIs, and all related services (collectively, the &aosp; Services&aosp;). By accessing or using our Services in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must immediately cease use of the Services. If you are agreeing on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.
2. Definitions AI Agent — a production-ready, purpose-built automated system developed by Isometrik AI to perform specific business tasks using artificial intelligence and machine learning. Platform — the Isometrik AI software platform, tools, APIs, SDKs, and infrastructure that enable deployment and management of AI agents and workflows. Client Data — any data, content, or information you upload, input, or transmit to or through our Services, including customer data processed by deployed AI agents. Service Agreement — any supplemental order form, statement of work, or master service agreement entered into between you and Isometrik AI, which supplements these Terms. Subscription — a recurring licence to access and use designated Isometrik AI services for a defined term, as specified in your chosen pricing plan or Service Agreement. Confidential Information — any non-public information disclosed by one party to the other in connection with the Services, including technical data, business plans, and Client Data.
3. Our Services Isometrik AI provides custom-built AI solutions, pre-built AI agents, and supporting infrastructure to businesses. Our offerings include, but are not limited to: Pre-built AI Agents — production-ready agents for recruitment, coaching, healthcare communication, logistics coordination, and conversational commerce. Custom AI Development — bespoke AI agent design, development, and deployment tailored to your specific workflows and data. Conversational AI Platform — multi-channel AI communication across chat, voice, SMS, WhatsApp, and email. AI Marketing Automation — content generation, campaign management, prospect identification, and outreach automation. Consulting & Strategy — AI transformation advisory, implementation planning, and ongoing support. API & SDK Access — developer tools enabling integration of Isometrik AI capabilities into your own products. We reserve the right to modify, suspend, or discontinue any part of the Services with reasonable notice.
4. User Accounts 4.1 Registration To access certain Services, you must create an account and provide accurate, current, and complete information. You agree to maintain and promptly update your account information. 4.2 Account Security You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to use a strong, unique password, not share your credentials with any third party, and notify us immediately at security@isometrik.ai if you suspect unauthorised access. 4.3 Eligibility You must be at least 18 years old and have the legal capacity to enter into a binding contract. Our Services are intended for business use only.
5. Acceptable Use You agree to use our Services only for lawful, legitimate business purposes. You must not: Violate any applicable local, national, or international law or regulation. Use the Services to transmit unsolicited bulk communications (spam) without required consents. Attempt to reverse engineer, decompile, or derive source code from our AI models or platform. Use the Services to develop competing products or services. Input, upload, or process content that is unlawful, defamatory, obscene, harassing, or fraudulent. Interfere with or disrupt the integrity, security, or performance of the Services. Circumvent, disable, or interfere with any security features, usage limits, or access controls. Use the Services to process sensitive personal data (e.g., biometrics, genetic data) without a specific Data Processing Agreement in place. Misrepresent your identity, affiliation, or the nature of your use of the Services.
6. Intellectual Property 6.1 Isometrik AI Ownership All rights, title, and interest in and to the Services, including our AI models, algorithms, software, platform infrastructure, documentation, and brand assets, are and remain the exclusive property of Isometrik AI and its licensors. 6.2 Licence to You Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your internal business purposes during your subscription term. 6.3 Your Content & Data You retain all ownership rights in your Client Data. By providing Client Data to the Services, you grant Isometrik AI a limited licence to use and process that data solely as necessary to provide the Services to you. 6.4 Deliverables For custom AI development projects, ownership of deliverables will be specified in the applicable Service Agreement. Unless otherwise agreed in writing, Isometrik AI retains all underlying technology and model IP. 6.5 Feedback If you submit feedback or suggestions about our Services, you grant us a perpetual, irrevocable, royalty-free licence to use that feedback for any purpose without obligation to you.
7. Data & Confidentiality 7.1 Data Processing Our collection and processing of personal data is governed by our Privacy Policy, incorporated into these Terms by reference. A Data Processing Agreement (DPA) is available on request for clients deploying our Services on behalf of their own customers. 7.2 Mutual Confidentiality Each party agrees to maintain the confidentiality of the other party&aosp;s Confidential Information using at least the same degree of care as it uses to protect its own confidential information, and not to disclose it to any third party without prior written consent. 7.3 Data Isolation Your Client Data is logically isolated from other clients&aosp; data. We do not use your Client Data to train AI models for use by other clients or third parties. 7.4 HIPAA & Regulated Data We support HIPAA compliance for healthcare clients through a signed Business Associate Agreement (BAA). Contact us to arrange the appropriate compliance documentation before processing regulated data.
8. Payment & Billing 8.1 Fees All fees are in US dollars (USD) unless otherwise specified and are exclusive of applicable taxes. 8.2 Billing Cycle Subscription fees are billed in advance on a monthly or annual basis. Usage-based components are billed in arrears and deducted from pre-paid wallets. 8.3 Payment Methods We accept major credit and debit cards and bank transfers for annual enterprise plans. Payment is processed by PCI-DSS compliant providers. We do not store full card details. 8.4 Late Payments Overdue invoices may accrue interest at 1.5% per month and may result in suspension of Services until paid in full. 8.5 Refunds Subscription fees are non-refundable except where required by applicable law or as expressly stated in your Service Agreement. 8.6 Price Changes We may update our pricing with 30 days&aosp; notice. Changes take effect at the start of your next billing cycle.
9. Disclaimers THE SERVICES ARE PROVIDED ON AN &aosp;AS IS&aosp; AND &aosp;AS AVAILABLE&aosp; BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR UNINTERRUPTED SERVICE. AI-generated outputs are probabilistic in nature. Isometrik AI does not warrant the accuracy, completeness, or suitability of any AI-generated content for any specific purpose. You are responsible for reviewing and validating AI outputs before relying on them for business decisions.
10. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ISOMETRIK AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.
11. Indemnification You agree to defend, indemnify, and hold harmless Isometrik AI and its officers, directors, employees, and agents from and against any claims, damages, or liabilities arising from your use of the Services, your violation of these Terms, your violation of any third-party rights, or any claims made by your end-users arising from AI agents you have deployed using our Services.
12. Termination 12.1 Termination by You You may terminate your subscription at any time by providing written notice. Termination takes effect at the end of your current billing cycle. 12.2 Termination by Us We may suspend or terminate your access immediately if you materially breach these Terms and fail to cure within 10 days of notice, fail to pay fees when due, or if we are required to do so by law. 12.3 Effect of Termination Upon termination, your licence ends immediately. You will have 30 days to export your Client Data, after which we may delete it. All payment obligations incurred prior to termination survive.
